This Subscription Service Consulting Agreement ("Agreement") is entered into by and between Zetta LLC, a company registered in California, United States ("Company"), and you, the Subscriber, an individual or entity subscribing to the services offered by Company ("Subscriber").
1.1 Company agrees to provide data customization and analysis consulting services to Subscriber as a value-added benefit of the subscription service ("Services").
1.2 The Services shall be limited to a maximum of 40 hours per month, with single requests being fulfilled one at a time, subject to availability and scheduling.
1.3 Company shall perform the Services in a professional and workmanlike manner, using reasonable skill and care.
2.1 The Services provided under this Agreement are included as a value-added benefit of Subscriber's subscription to Company's service and shall not incur additional charges.
3.1 This Agreement shall commence on the date the subscription services commence and shall continue for the duration of Subscriber's subscription to Company's service.
3.2 Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach after receipt of written notice thereof.
4.1 Subscriber agrees to keep confidential all information provided by Company in connection with the Services ("Confidential Information") and not to disclose such Confidential Information to any third party without the prior written consent of Company.
5.1 Subscriber agrees to indemnify, defend, and hold harmless Company and its officers, directors, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with Subscriber's use of the Services or any breach of this Agreement by Subscriber.
6.1 Company is an independent contractor and not an employee, agent, partner, or joint venture of Subscriber.
7.1 This Agreement shall be governed by and construed in accordance with the laws of the State of California.
